Agreement between you and RigBase
Clear terms for how our carrier platform is accessed, operated, and governed.
These Terms of Service form a legally binding agreement between your organization and RigBase. By accessing or using the platform, you confirm that you have read, understood, and agreed to these terms on behalf of your organization.
Key points at a glance
Business accounts only
RigBase is a B2B platform. You must be accessing it as an authorized representative of a legal business entity.
Org admins control access
The account administrator is responsible for managing user roles, permissions, and data integrity within their organization.
Subscription-based access
Access to paid features requires an active subscription. Termination ends access at the conclusion of the current billing period.
You own your data
Customer data — loads, drivers, fleet records, compliance documents — belongs to your organization. We are a processor, not an owner.
No unauthorized use
The platform may not be used to circumvent FMCSA regulations, falsify safety records, or facilitate any unlawful carrier activity.
Governed by Texas law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
1. Acceptance of Terms
By creating an account, adding users, or accessing any feature of RigBase (the "Platform"), you ("Customer") agree to these Terms of Service ("Terms") on behalf of the legal entity you represent. If you do not have authority to bind your organization, or if you do not agree to these Terms, you must not access or use the Platform.
RigBase, LLC ("RigBase," "we," "us," or "our") reserves the right to update these Terms at any time. Material changes will be communicated to account administrators via email with at least 14 days' notice. Continued use of the Platform after the effective date of any update constitutes acceptance.
2. Description of Service
RigBase is a cloud-based trucking management system (TMS) designed for motor carriers. The Platform provides features including but not limited to:
- Dispatch management: load creation, assignment, and status tracking across drivers and vehicles
- Safety and compliance tooling: FMCSA-aligned record management, incident tracking, violation logging, and CSA monitoring
- Pre-trip inspection (PTI): driver-facing inspection flows with offline capability and TMS synchronization
- Fleet maintenance: work orders, preventive maintenance schedules, and vendor coordination
- Document management: registration, proof-of-delivery, incident file, and compliance document storage
- Billing and freight: rate management, invoice generation, and load financial tracking
- Notification delivery: in-app, email, SMS, and push notification channels for operational events
We reserve the right to modify, suspend, or discontinue any feature of the Platform with reasonable notice, except where immediate action is required for security or legal reasons.
3. Accounts & Access
Organization accounts
Access to the Platform is structured around organizational tenants. Each carrier or business entity operates as an isolated organization within the Platform. Data belonging to one organization is not accessible to another.
Administrator responsibility
The individual who creates an organization account is designated as the primary administrator. Administrators are responsible for:
- Managing user accounts, roles, and access permissions within the organization
- Ensuring that all users operating under the account comply with these Terms
- Maintaining the security and confidentiality of authentication credentials
- Ensuring that driver, vehicle, and compliance data entered into the Platform is accurate and current
Account security
You are responsible for maintaining the confidentiality of your credentials. Notify us immediately at support@rigbase.io if you suspect unauthorized access. We are not liable for losses arising from unauthorized use of credentials that you failed to adequately protect.
4. Acceptable Use
You agree to use the Platform only for lawful purposes consistent with operating a licensed motor carrier. The following uses are expressly prohibited:
- Falsifying driver qualification files, hours-of-service records, PTI results, or any FMCSA-regulated document
- Using the Platform to facilitate fraud, including fraudulent freight transactions or identity misrepresentation
- Attempting to gain unauthorized access to other organizations' data or to the Platform's underlying infrastructure
- Reverse-engineering, decompiling, or creating derivative works based on the Platform's software
- Uploading malware, scripts, or content designed to disrupt or damage the Platform or its users
- Reselling, sublicensing, or providing Platform access to third parties outside of your organization without written consent
- Circumventing or disabling any access controls, rate limits, or security features
- Using automated bots or scrapers to extract data from the Platform at scale without prior written approval
Violations of acceptable use — particularly falsification of safety or compliance records — may result in immediate account suspension and referral to applicable regulatory authorities.
5. Subscriptions & Billing
Subscription terms
Access to paid features of the Platform requires an active subscription. Subscription terms, pricing, and included features are defined at the time of purchase and may be updated with 30 days' notice for renewals.
Billing cycle
Subscriptions are billed in advance on a monthly or annual cycle, as selected at the time of purchase. Annual subscriptions receive a discounted rate in exchange for upfront commitment. All prices are in US dollars.
Payment failure
If a payment fails, we will notify you and attempt to retry the charge. Access to the Platform may be suspended after 7 days of unresolved payment failure. We will provide written notice before suspension and a reasonable opportunity to cure the failure.
Refund policy
Monthly subscriptions are non-refundable once the billing period begins. Annual subscriptions unused for fewer than 30 days from the start date may be eligible for a prorated refund at our discretion. Contact billing@rigbase.io to discuss your situation.
Taxes
You are responsible for all applicable taxes, duties, and government charges associated with your subscription, except for taxes on RigBase's net income.
6. Customer Data
Ownership
You retain all right, title, and interest in and to the data you input into the Platform ("Customer Data"), including driver records, load information, vehicle data, compliance documents, and any other operational records. RigBase makes no ownership claim over Customer Data.
License to us
You grant RigBase a limited, non-exclusive license to access, process, and store Customer Data solely as necessary to provide the Platform services described in these Terms. We do not use Customer Data to train AI models, develop competing products, or serve third-party commercial interests.
Data accuracy
You are responsible for the accuracy, legality, and completeness of all Customer Data you enter or import into the Platform. RigBase does not independently verify the accuracy of operational or compliance data entered by your users.
Export and deletion
You may export Customer Data at any time through the Platform's data export features or by contacting support. Upon account termination, we will retain Customer Data for 90 days to allow for data retrieval, after which it will be deleted in accordance with our data retention policy.
7. Intellectual Property
RigBase IP
The Platform, including all software, algorithms, interfaces, documentation, trademarks, and trade secrets, is owned by RigBase and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Platform or its underlying technology.
Your feedback
If you provide suggestions, feedback, or ideas about the Platform ("Feedback"), you grant RigBase a perpetual, irrevocable, royalty-free license to use, incorporate, and commercialize such Feedback without obligation or attribution.
Restricted actions
You may not copy, modify, create derivative works from, reverse engineer, disassemble, or attempt to derive source code from the Platform, except to the extent expressly permitted by applicable law that cannot be waived by contract.
8. Confidentiality
Each party may have access to Confidential Information of the other — including Customer Data, proprietary technology, pricing, and business information. Each party agrees to:
- Protect the other party's Confidential Information with at least the same care used for its own confidential materials (and no less than reasonable care)
- Not disclose Confidential Information to third parties without prior written consent, except as required by law
- Use Confidential Information only for purposes necessary to fulfill the terms of this agreement
These obligations do not apply to information that is publicly known, independently developed, lawfully received from a third party, or required to be disclosed by law or court order.
9. Warranties & Disclaimers
RigBase warrants that the Platform will perform materially as described in our documentation under normal use conditions, and that we will take reasonable steps to maintain its availability and security.
Disclaimer: Except as expressly stated above, the Platform is provided "as is" and "as available" without warranty of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be error-free, uninterrupted, or that defects will be corrected within any specific timeframe.
RigBase is a software platform — it is not a licensed motor carrier, dispatcher, or safety consultant. Compliance with FMCSA regulations, DOT requirements, and applicable state transportation laws remains the sole responsibility of your organization.
10. Limitation of Liability
To the maximum extent permitted by applicable law, RigBase shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Costs of procuring substitute services
- Damages arising from unauthorized access, data breaches, or service interruptions beyond our reasonable control
In no event shall RigBase's aggregate liability to you for all claims arising out of or relating to these Terms or the Platform exceed the greater of (a) the total fees paid by you to RigBase in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless RigBase and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Platform in violation of these Terms or applicable law
- Inaccurate, unlawful, or fraudulent Customer Data submitted to the Platform
- Claims by your drivers, employees, or contractors arising from your use of the Platform
- Your violation of any third-party rights, including intellectual property or privacy rights
12. Termination
Termination by you
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for early cancellation of monthly subscriptions.
Termination by us
We may suspend or terminate your account:
- Immediately upon material breach of these Terms, including but not limited to violations of Section 4 (Acceptable Use)
- After 7 days' notice for non-payment of subscription fees
- After 30 days' notice if we discontinue the Platform or a material feature you rely on
Effect of termination
Upon termination, your right to access the Platform ceases immediately. We will retain your Customer Data for 90 days post-termination to allow data export. After that period, data is deleted pursuant to our retention policy. Sections 6, 7, 8, 9, 10, 11, and 13 survive termination.
13. Dispute Resolution
Informal resolution
Before initiating formal dispute proceedings, both parties agree to attempt good-faith resolution through direct negotiation for a period of 30 days from written notice of the dispute.
Binding arbitration
If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English in Austin, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class action waiver
You agree to resolve disputes with RigBase on an individual basis only. You waive any right to bring or participate in class action litigation or class-wide arbitration against RigBase.
Exceptions
Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration, without waiving the right to arbitrate the underlying dispute.
14. General Provisions
Governing law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
Entire agreement
These Terms, together with our Privacy Policy and any executed Order Form, constitute the entire agreement between you and RigBase regarding the Platform.
Severability
If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.
No waiver
Our failure to enforce any provision of these Terms in one instance does not constitute a waiver of our rights to enforce that provision in the future.
Assignment
You may not assign these Terms or your account to a third party without our prior written consent. We may assign these Terms in connection with a merger or acquisition.
Force majeure
Neither party shall be liable for delays or failures in performance caused by circumstances beyond their reasonable control, including natural disasters, government actions, or infrastructure failures.
